Terms of Service — Chaturya Technologies Private Limited

1. Acceptance of Terms

By accessing or using any services, software, integrations including WhatsApp Business Platform (Cloud API), or professional services provided by Chaturya Technologies Private Limited, you agree to these Terms of Service. If you do not agree, you must discontinue all use of the Services.

2. Scope of Services

Chaturya provides technology consulting, software engineering, cloud development, DevSecOps, automation, staffing services, and Chaturya Samvaad — a multi-tenant cloud-based messaging infrastructure platform integrating with third-party messaging providers including Meta Platforms, Inc.

These Terms apply unless superseded by a separately executed written agreement.

Note: Our services are technical in nature. Any recommendations regarding compliance are informational only and do not constitute legal advice.

3. Platform Role

Chaturya acts as a technical service provider and data processor. We do not independently initiate end-user messaging. All business-initiated communications are triggered and controlled solely by the client.

Note: Chaturya does not guarantee message delivery, template approval, uptime, API continuity, or uninterrupted platform access. Meta may block, rate-limit, suspend, or restrict messaging at its discretion.

6. Multi-Tenant Environment

Chaturya Samvaad operates as a multi-tenant SaaS platform. Each client environment is logically separated. Clients are granted access solely to their own data and environment.

7. Intellectual Property

Chaturya Generic IP: We retain ownership of methodologies, reusable components, infrastructure tooling, and generic software elements developed by us that do not contain your specific confidential data.

Client Deliverables: Upon full payment, you own custom application code and unique business logic developed exclusively for you under an agreed Statement of Work.

8. Data Processing & Privacy

Data is processed in accordance with Chaturya’s Privacy Policy. You represent that you have lawful rights to all data shared through the Services and have obtained required end-user consent.

9. Third-Party Dependencies

Chaturya is not responsible for outages, policy changes, delivery failures, template rejections, rate limits, or account restrictions caused by third-party services such as Meta, WhatsApp, cloud hosts, or carriers.

10. Limitation of Liability

To the maximum extent permitted by law, Chaturya shall not be liable for indirect, incidental, special, or consequential damages.

Total cumulative liability shall not exceed fees paid in the six (6) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Chaturya Technologies from claims arising out of misuse of the Services, violation of platform policies, failure to obtain consent, or breach of applicable laws.

12. Suspension & Termination

We may terminate these Terms for convenience with thirty (30) days' notice.

We may immediately suspend or terminate Services if your use violates applicable laws, Meta policies, or these Terms.

13. Governing Law & Jurisdiction

These Terms are governed exclusively by Indian law. Disputes fall under the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

14. Updates to Terms

We may update these Terms periodically. Continued use of the Services constitutes acceptance of the revised Terms.
